Terms of Service

These terms ("Terms") govern your use of the OpenRegistry service ("OpenRegistry", "the Service", "we", "us", or "our") operated by Sophymarine. By using the Service — including connecting your AI client (Claude Desktop, Cursor, Cline, or any other MCP client) to the endpoint at https://openregistry.sophymarine.com/mcp — you agree to these Terms.
1. Your authorisation to query on your behalf
By using the Service, you instruct and authorise OpenRegistry to submit queries to public national government company registries on your behalf. Specifically:
- Each tool call you make is a request that OpenRegistry transmit, on your instruction and for your benefit, a read-only query to the relevant statutory government registry of the jurisdiction you target.
- OpenRegistry acts as your technical agent for the purpose of forwarding the query and returning the registry's unmodified response. We do not acquire ownership of, or make representations about, the underlying data — the data belongs to the respective registry and is provided under its own public-access terms and open-government licence (typically UK OGL v3.0, EU PSI, or the equivalent national framework).
- You warrant that you are authorised to make such queries in your jurisdiction and that any downstream use of the returned data by you complies with the upstream registry's licence and applicable laws, including UK/EU GDPR, 5AMLD/6AMLD, and local sanctions regimes.
- You acknowledge that: (a) some upstream registries impose their own rate limits and fair-use terms which pass through to your use of OpenRegistry; (b) some registries redact or restrict certain fields (e.g. individual directors' residential addresses, UBO registers gated post CJEU C-37/20 in DE/ES/IT/NL/LU/AT/MT/PT), which OpenRegistry faithfully surfaces but does not bypass; (c) OpenRegistry does not guarantee response to any particular query — upstream outages, registry-specific fair-use restrictions, or our own rate-limit caps may cause calls to fail or return 501 with an
alternative_url pointing at the statutory portal.
2. Acceptable use
You agree NOT to:
- Use OpenRegistry in a way that violates any upstream registry's terms of service, or any applicable data-protection, anti-money-laundering, or sanctions law.
- Attempt to circumvent OpenRegistry's rate limits, tier gates, or 501 responses (e.g. by rapidly rotating IPs or anonymous sessions). This includes not using OpenRegistry to access AML-gated UBO registers that we explicitly 501 on — those require your own AML-obliged-entity credentials with the registry.
- Use OpenRegistry to harass, stalk, dox, or otherwise target identified individuals. Government registries publish director names and beneficial-ownership entries for statutory transparency; using that data to target individuals in ways the law prohibits (including GDPR-violating processing, UK PHA 1997 harassment, or similar regimes elsewhere) is your liability, not ours.
- Redistribute OpenRegistry's cached or proxied responses as a commercial dataset-for-sale, except where the upstream licence permits (e.g. UK OGL). Attribution to each underlying registry is required where it is required by the upstream licence.
- Reverse-engineer, probe, or attack OpenRegistry's infrastructure, or use credentials issued to others without authorisation.
- Use OpenRegistry to build a competing general-purpose MCP server that proxies our implementation (fair-play exception: reading our documentation repository, which is CC-BY-4.0, to build your own independent implementation is explicitly welcomed).
3. Tiers and payment
- Anonymous (free): 20 requests/minute per IP, 3-country cross-border search fan-out per 60-second window. No signup, no account. Provided on a best-effort basis.
- Free (signed-in): 30 requests/minute per user. Requires passwordless email sign-in.
- Pro (USD $9/month): 180 requests/minute, 10-country fan-out.
- Max (USD $29/month): 900 requests/minute, 30-country fan-out.
- Enterprise (custom): 3000 requests/minute, unlimited fan-out, pre-synthesised
source_url / registry_url / data_license fields in every response. Custom SLAs available on request.
Paid tiers are billed monthly in advance via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing cycle and no refund is provided for the partial month. We reserve the right to change tier pricing with 30 days notice to authenticated users.
4. No warranty of data accuracy
OpenRegistry forwards and returns government-registry data unmodified, preserving upstream field names, status codes, and raw filing bytes. We do not verify, reformat, translate, or enrich the registry's response. Responsibility for the accuracy of the underlying data rests with the government registry of record.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any particular query will return data in real time.
5. Limitation of liability
To the maximum extent permitted by law, Sophymarine's aggregate liability for any claim arising from your use of the Service is capped at (a) the fees you paid us for the Service in the 12 months preceding the event giving rise to the claim, or (b) USD $50, whichever is greater. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
6. Compliance use and regulated-activity disclaimer
OpenRegistry is a data-access utility, not a compliance or legal service. If you use OpenRegistry as part of a regulated workflow (KYC, AML, sanctions screening, legal due diligence, journalism investigating public figures), you remain solely responsible for:
- Verifying the freshness and completeness of the data at the upstream source before relying on it for a regulated decision.
- Documenting your chain of reasoning and source citations in compliance records. Each tool response includes the registry's own identifier; the government URL for any record is reconstructable from the jurisdiction + identifier (Enterprise tier synthesises
source_url directly).
- Handling the data in accordance with your firm's data-protection, confidentiality, and records-retention policies.
- Independently validating AML-gated registry information when the chain of ownership crosses into DE / ES / IT / NL / LU / AT / MT / PT (where OpenRegistry 501s with an
alternative_url to the statutory gated portal) and in RU / KY (where UBO access is AML-gated by national law).
7. Intellectual property
The OpenRegistry service implementation is proprietary to Sophymarine. The documentation repository at github.com/sophymarine/openregistry, including the 10 Claude Agent Skills, is licensed under Creative Commons Attribution 4.0 International (CC-BY-4.0). "OpenRegistry" and "Sophymarine" are trademarks of Sophymarine.
8. Termination
We may suspend or terminate your access to the Service (paid or free) if you materially breach these Terms, including by abusing the Service, violating acceptable use, or failing to pay for a paid tier. Anonymous-tier users may be IP-banned without notice for abuse; we will use reasonable endeavours to unban on good-faith requests to contact@sophymarine.com.
Sections that by their nature should survive termination (Acceptable Use, No Warranty, Limitation of Liability, Compliance Disclaimer, IP, Governing Law) continue to apply after termination.
9. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts. Consumers with statutory rights under their own jurisdiction retain those rights; this clause does not limit statutory consumer protections where they are mandatory.
10. Changes to these Terms
We may revise these Terms from time to time. Material changes will be announced on the project GitHub repository (Launched issue) with at least 14 days notice to authenticated-tier users. Continued use after the notice period constitutes acceptance.
